Terms and Conditions of Nova Clean Solutions
1. Introduction These Terms and Conditions outline the legal obligations and rights between Nova Clean Solutions (“the Company”) and its clients (“the Client”). They apply to all cleaning services provided and establish guidelines for the relationship to ensure clear understanding and mutual compliance.
2. Services and Pricing
2.1 Service Provision: The Company will perform cleaning services as explicitly described in the service agreement, tailored to meet the unique needs and specifications of each Client.
2.2 Pricing and Payment Terms: All services provided by the Company will be priced according to the specifics of the job, including but not limited to the size of the area, the type of cleaning required, and the frequency of services. The Company and the Client will agree on the pricing structure before service delivery begins. All payments must be made in accordance with the agreed schedule.
3. Payment Terms
3.1 Advance Payment Requirement: Clients are required to pay for services in advance to ensure scheduling and resource allocation by the Company. This advance payment helps manage resources efficiently and confirms the Client’s commitment to the service schedule.
3.2 Cancellation Fee: Clients wishing to cancel their service must provide at least 24 hours’ notice. If the Client fails to cancel within this time frame, a cancellation fee amounting to 60% of the scheduled service cost will be charged to compensate for the resource allocation and lost opportunity.
4. Cleaning Materials and Access
4.1 Provision of Cleaning Supplies: The Company will provide all standard cleaning materials necessary for the completion of services. If the Client requests additional specific products not typically used by the Company, such as particular brands, eco-friendly supplies, or allergen-free solutions, these must be requested at least 48 hours in advance. The Client will be charged for these additional specific products at the cost price plus a handling fee to cover procurement and storage. Similarly, if the Client requires consumables such as paper towels, toilet paper, or hand soaps to be restocked as part of the cleaning service, these will also be provided at an additional charge. Pricing for these items will be clearly outlined in the service proposal or invoice.
4.2 Access to Property: To ensure timely and efficient service delivery, Clients must provide unhindered access to their premises at the times agreed upon for cleaning. This includes providing keys, access codes, or other means necessary to enter and perform the services without delay.
5. Non-Solicitation
5.1 Protection of Investment: Recognizing the Company’s investment in the training and development of its employees, Clients agree not to directly or indirectly recruit, hire, or engage any employee of the Company during the term of their agreement and for a period of 12 months following its termination. Breaching this clause is considered a serious violation and may lead to legal proceedings.
6. Non-Assignment
6.1 Restriction on Transfer of Rights: Clients may not assign or transfer their rights or obligations under this agreement to any third party without the express written consent of the Company. This restriction ensures that the contractual arrangements remain intact and are not diluted or undermined by unauthorized third-party involvement.
7. Entire Agreement
7.1 Comprehensive Agreement: This document constitutes the full and entire understanding between the Client and the Company, superseding all prior discussions, agreements, or understandings, whether written or oral. This clause confirms that no other agreements, promises, or conditions, verbal or otherwise, exist outside of this written contract.
8. Governing Law
8.1 Legal Compliance: These Terms and Conditions shall be governed by and interpreted in accordance with the laws of New South Wales, Australia. This includes compliance with local, state, and federal regulations applicable to the provision of cleaning services.
9. Dispute Resolution
9.1 Structured Resolution Process: In the event of disputes, both parties agree first to seek resolution through direct negotiation and, if necessary, through mediation. Litigation should be considered a last resort and initiated only if other resolution methods fail.
10. Confidentiality
10.1 Confidential Information Protection: Both parties agree to maintain the confidentiality of proprietary information exchanged during the contract term. Breaching confidentiality can lead to legal penalties.
11. Termination
11.1 Conditions for Termination: Either party may terminate the contract under conditions stated within the agreement, such as breach of contract, non-payment, or mutual consent. Specifics regarding notice periods and obligations upon termination (like the return of property or final payments) will be explicitly stated in the agreement.
12. Amendment of Agreement
12.1 Formal Amendment Procedures: Any amendments to this contract must be agreed upon in writing and signed by both parties. This ensures all changes are deliberated and documented, maintaining the integrity and enforceability of the agreement.
